These Terms and Conditions govern your use of the I WANT ONLINE Marketing FZ-LLC website and any marketing work we carry out for you. Please read them before signing a proposal or paying an invoice. Where a signed contract covers the same ground, the signed contract leads.
Acceptance of these terms
These Terms and Conditions ("Terms") form a binding agreement between you and I WANT ONLINE Marketing FZ-LLC ("we", "us", "our"). By using this website, submitting an enquiry, signing a proposal, or paying an invoice, you confirm that you have read, understood and accepted them.
If a signed proposal, statement of work or master services agreement says something different, that document takes priority over these Terms for the matter it covers.
About us and the services
We are a digital marketing agency in the United Arab Emirates offering search engine optimisation, pay-per-click advertising, social media optimisation and content writing, together with the strategy, reporting and tooling that support them.
The exact deliverables, platforms, volume and reporting cadence for your work are set out in the proposal we send you. Anything not listed there is not included and will be quoted separately.
Proposals, scope and changes
Proposals are based on the information you give us and are valid for 30 days unless we state otherwise. A project begins when you accept a proposal in writing and the agreed deposit is received.
Requests that fall outside the agreed scope are welcome and will be handled through a written change request, with any additional fee or timeline impact agreed before we start the extra work.
What we need from you
Marketing results depend on access and decisions. You agree to:
- Give timely access to the accounts, platforms, analytics and assets the work needs, and keep those permissions current.
- Provide brand assets, product facts, offers and approvals on the schedule agreed in the plan.
- Ensure the claims, prices, promotions and content you supply are accurate, lawful and do not infringe anyone's rights.
- Respond to review requests within two business days so reviews do not stall.
- Nominate one decision-maker who can approve work on behalf of your business.
Where a delay or shortfall comes from access, approvals or information that never arrived, timelines move accordingly and we cannot be held responsible for the missed window.
Fees, invoicing and payment
Fees are as quoted, in UAE Dirhams or the currency stated in the proposal, and are exclusive of any tax that applies unless we say otherwise.
- New engagements start with a 50% deposit; the balance is invoiced on completion of the phase.
- Retainers are invoiced monthly in advance and continue until either side ends them under the Termination clause.
- Invoices are payable within 7 days of the invoice date.
- Late payment may attract a service pause until the account is brought current.
- Disputed amounts must be raised in writing within 7 days of the invoice; undisputed amounts remain payable.
Fees already earned for work completed are non-refundable. Any refund we agree to give is at our discretion and limited to fees paid for work not yet performed.
Advertising spend and third-party platforms
Media budget - the money paid to Google, Meta, LinkedIn, TikTok and similar platforms - is separate from our service fees and is funded by you, either by direct card charge or by prepayment.
Ad accounts, pages and profiles normally stay in your name and remain your property. Platform policies, auction prices, review queues and account suspensions are outside our control; we will always tell you promptly when one of them affects your campaigns.
Timelines, revisions and approvals
Every plan carries an estimated timeline. Estimates assume the access and approvals described above; they are not guarantees of a particular date unless the contract says so.
Each deliverable includes two rounds of revisions inside the original brief. Further rounds, or a brief that changes direction, are quoted as additional work.
Work that is not reviewed within 10 business days of delivery is treated as approved.
Intellectual property
- Everything we create for you under an engagement - copy, creative, campaign structures, reports - belongs to you once that work is paid for.
- Your trademarks, logos, product data and existing content stay yours, and we use them only to deliver your work.
- Our methods, frameworks, templates, scripts, dashboards and internal tools remain ours, and you may keep using them as part of the deliverables we hand over.
- Open-source and licensed stock materials stay governed by their own licences.
- We may show completed work in our portfolio, case studies and proposals unless you ask us, in writing, not to.
Confidentiality
Each side keeps the other's confidential information private - strategies, budgets, performance data, customer lists, logins and anything marked confidential - for three years after the engagement ends.
Disclosure is permitted where the information was already public, was developed independently, was received lawfully from someone else, or must be released by law. Logins and credentials are never shared outside the named team working on the account.
Warranties and disclaimers
We warrant that our work will be performed with reasonable skill and care, in line with accepted industry practice, and that we will not knowingly use techniques that breach a platform's rules.
Beyond that, we make no promise of specific outcomes. No ranking position, no sales figure, no lead volume and no return on ad spend is guaranteed. Search engines, social platforms and consumer behaviour change, and honest agencies cannot promise what an algorithm will do.
We do not guarantee uninterrupted, error-free operation of our website, dashboards or any third-party tool.
Limitation of liability
- Our total liability for a claim arising from an engagement is limited to the fees you actually paid us for the work that caused the claim, in the three months before it arose.
- We are not liable for indirect or consequential losses - lost profits, lost revenue, lost goodwill, lost data, or a drop in rankings or sales.
- We are not liable for the acts, policy changes, suspensions or technical failures of Google, Meta, hosting providers, payment processors or any other third party.
- These limits do not exclude liability that cannot lawfully be limited, including fraud, wilful misconduct, death or personal injury caused by our negligence.
Indemnity
You agree to cover us against claims, losses and reasonable legal costs arising from information, materials, claims or promotions you supply; from your use of the deliverables; from your breach of a platform's rules or of applicable law; and from access you grant to anyone acting for you.
Non-solicitation
During an engagement and for six months afterwards, neither side will directly solicit for employment the other's staff who were assigned to the project, without written consent. Ordinary public job advertising is allowed.
Termination
- Retainers: either side may end them with 30 days' written notice.
- Project work: either side may end it if the other materially breaches these Terms and fails to fix the breach within 14 days of written notice.
- We may stop work immediately for non-payment, for instructions that would breach law or platform policy, or where we must protect our legal position.
- On ending, you pay for all work performed and expenses incurred up to that date; we hand over your assets, credentials and any completed deliverables.
Force majeure
Neither side is in breach for a delay or failure caused by events beyond reasonable control - internet or platform outages, cyber-attacks, natural events, strikes, war, government action, sanctions, or changes to platform policy. The affected obligations are extended for the duration of the event.
Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Ras Al Khaimah, where our registered address sits. The parties submit to the competent courts there, unless a free-zone or arbitration rule we both sign says otherwise.
Before filing anything, both sides will try to resolve the matter in good faith through direct negotiation between senior representatives for 30 days.
Changes to these terms
We may update these Terms as our services and the law develop. The version published on this page applies to any new engagement or renewal; a signed contract in force at the time keeps the version that applied when it was signed.
